These Terms govern your use of the Site only. Engagement of Zenos IT Solutions for marketing services is governed by a separate written engagement agreement executed between Zenos and the client.

Zenos IT Solutions ("Zenos", "we", "us", "our") is a performance marketing agency operating from Narayanganj, Bangladesh, providing services including but not limited to Google Ads management, search engine optimization, local search optimization, Meta advertising, and web development.

3. Use of the Site

You may use the Site for lawful purposes only. You agree not to:

  • Use the Site in any way that violates applicable law or regulation
  • Attempt to gain unauthorized access to the Site, its server, or related infrastructure
  • Interfere with or disrupt the Site or servers connected to it
  • Use automated tools (bots, scrapers, crawlers) to access the Site without prior written permission, except for standard search engine indexing
  • Submit false or misleading information through any form on the Site

4. Audit Requests and Inquiries

The Site offers the ability to submit audit requests, contact inquiries, and other forms. Submission of a form does not constitute a contract or guarantee of services. We reserve the right to decline any audit request or inquiry at our discretion.

If we accept an audit request, our audit deliverable is provided on an as-is, informational basis. Implementation of any recommendations is at the recipient's discretion and risk.

Engagement of Zenos for ongoing services requires a separately executed written agreement.

5. Intellectual Property

All content on the Site — including text, graphics, logos, images, design, code, case studies, and other materials — is the property of Zenos IT Solutions or its licensors and is protected by international copyright, trademark, and other intellectual property laws.

You may not:

  • Copy, reproduce, distribute, or modify any content from the Site without prior written permission
  • Use Zenos's name, logo, or branding for any commercial purpose without prior written permission
  • Frame, mirror, or otherwise reproduce any portion of the Site

You may share links to publicly accessible pages of the Site for non-commercial purposes.

Case studies on the Site reference real client engagements with permission. Client names, logos, and metrics are used with consent and remain the property of the respective clients.

6. Third-Party Links and Services

The Site may contain links to third-party websites or services that are not owned or controlled by Zenos. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. You access third-party links at your own risk.

7. Disclaimers

8. Limitation of Liability

To the maximum extent permitted by applicable law, Zenos IT Solutions and its officers, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, or other intangible losses, resulting from:

  • Your inability to access or use the Site
  • Any conduct or content of any third party on the Site
  • Unauthorized access, use, or alteration of your transmissions or content

Our total liability for any claim arising out of or relating to the Site shall not exceed the amount you have paid to Zenos in the 12 months preceding the claim, or USD 100, whichever is greater.

Nothing in these Terms limits liability that cannot lawfully be limited under applicable law, including liability for fraud or fraudulent misrepresentation.

9. Indemnification

You agree to indemnify, defend, and hold harmless Zenos IT Solutions and its officers, employees, contractors, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

  • Your use of the Site in violation of these Terms
  • Your violation of any third-party right, including intellectual property rights
  • Your submission of false or misleading information through the Site

10. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the People's Republic of Bangladesh, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or your use of the Site shall be resolved through good-faith negotiation between the parties. If negotiation fails, disputes shall be submitted to the exclusive jurisdiction of the courts of Dhaka, Bangladesh.

This jurisdiction clause does not limit any statutory consumer protection rights you may have under the laws of your country of residence.

11. Changes to These Terms

We may modify these Terms from time to time. Material changes will be communicated by posting the updated Terms on this page with a new "Last Updated" date. Continued use of the Site after changes constitutes acceptance of the updated Terms.

If you do not agree to the updated Terms, you must stop using the Site.

12. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely matches the original intent.

13. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Zenos IT Solutions regarding your use of the Site. They supersede any prior agreements or understandings regarding the Site.

These Terms do not govern any service engagement with Zenos. Service engagements are governed by separate written engagement agreements.
